On May 16, 2013, the Bank of China (UK) Limited (BOC UK) issued a loan offer letter to Indigobase Limited — an England and Wales-incorporated privately-held company (owned by its directors) — for unspecified purposes. This loan was secured by (i.e. collateralized against) a first legal mortgage on the freehold property on 79 Rushetts Road, Crawley RH11 7NF under H M Land Registry, Title Number WSX69089 and a first fixed charge on all its rights in any policies of insurance relating to the property, the rent and the benefit of any guarantee or security in respect of the rent, the benefit of the borrower to and in the occupational leases, the benefit of all contracts, guarantees, appointments, warranties, and other documents to which the borrower is a party or in its favor or of which it has the benefit relating to any letting, development, sale, purchase, or operation of the property, and all authorizations held or required in connection with the borrower's business carried on at the property as charged by Indigobase Limited in a legal charge dated July 29, 2013.
