Project narrative
On August 26, 2022, a syndicate of eight banks — including the Bank of China (Hong Kong) Limited (BOCHK) — signed a $1.4 billion USD syndicated loan agreement with PT Pertamina (Persero) — an Indonesian state-owned oil and natural gas corporation — for unspecified purposes. This loan was divided into two tranches: a $800 million tranche known as 'Facility A' with a maturity of one year and a final maturity date in August 2023 with a one-year extension option to August 2024 and a $600 million tranche known as 'Facility B' with a maturity of three years and a final maturity date of August 2025. Syndication was completed and the Syndication Agreement signed on November 18, 2022, bringing the total number of lenders to 24 — now including the Singapore and Tokyo Branches of BOCHK, PT Bank China Construction Bank Indonesia (CCBI), and two branches of China Construction Bank (Asia) Limited Corporation (CCB (Asia)) — on the loan. As of August 30, 2022, the borrower fully drew down both tranches. The eight original lenders were BOCHK, DBS Bank, PT Bank DBS Indonesia, BNP Paribas S.A., HSBC Ltd, OCBC Ltd., SMBC Singapore, and PT Bank BTPN Tbk; DBS Bank served as Facility Agent. The lenders that joined in syndication were BOCK Singapore Branch, BOCHK Tokyo Branch, CCBI, two entities of CCB (Asia), BNP Paribas S.A., Korea Development Bank, Singapore Branch, Credit Agricole CIB, Singapore Branch, Norinchukin Bank, Singapore Branch, Societe Generale, Singapore Branch, State Bank of India, Singapore Branch, Hua Nan Commercial Bank (HNCB), The Hyakugo Bank, Ltd., Bank of Taiwan, Singapore Branch, First Commercial Bank, Ltd., Singapore Branch, and The Shanghai Commercial & Savings Bank, Ltd. The total outstanding loan amount as of December 31, 2023 was USD 600 million. The interest accrued was USD 67.53 million. Record ID #105176 captures the contribution of the two CCB (Asia) entities.
Staff comments
1. AidData has assumed each lender contributed to each tranche. The individual contributions of the 24 lenders to this $1.4 billion USD syndicated loan are unknown. Therefore, AidData has estimated the contributions of the Chinese state-owned banks (aggregating the branches) by assuming each lender contributed equally ($63,636,363.63) to the loan syndicate. 2. As it is unclear whether each lender contributed to each tranche, for the time being AidData has taken the average of the maturity periods {[(1 + 3) / 2] = 2} and coded it as the maturity period of this record.
