Project narrative
In June 2019, a syndicate of at least six banks — including Bank of China (Hungary) Close Ltd. — entered into a €1,888,500,000 EUR syndicated loan facility agreement with CTP Industrial Property CZ, spol. s.r.o. — a Czech Republic-incorporated company wholly-owned by CTP Invest, spol. s r.o., a Czech Republic-incorporated full-service commercial property and real estate development company headquartered in Humpolec (together, with Netherlands-incorporated CTP B.V., consisting of CTP) wholly-owned by Multivest B.V., a Netherlands-incorporated company wholly owned by Netherlands-incorporated foundation Stichting Administratiekantoor Multivest — to refinance its Czech Industrial Portfolio. The loan carried a maturity period of seven years. In addition to the €1,888,500,000 EUR, there was a €50,000,000 EUR uncommitted loan facility. The proceeds were used to refinance the complete Czech Industrial portfolio which consisted of 200 buildings, covering 2.7 million square meters of premium industrial space, with €1.6 billion EUR of refinancing for CTP's existing properties and €269 million EUR of new financing for upcoming projects, putting consolidated 40 existing loan agreements into one syndicated loan. The loan was secured by collateral, with Deutsche Pfandbriefbank AG as security agent. In addition to Bank of China (Hungary), the following lenders contributed to the loan syndicate: Erste Group Bank AG (Erste Group), Česká spořitelna, a.s., UniCredit S.p.A., UniCredit Bank Czech Republic and Slovakia a.s., Société Générale S.A. (SocGen), and Komerční banka, a.s. Erste Bank, Česká spořitelna, UniCredit, UniCredit Bank Czech Republic and Slovakia, SocGen, and Komerční banka served as mandated lead arrangers and underwriters. Komerční banka served as agent. This was the largest ever real estate transaction in Central and Eastern Europe. As of late June 2019, syndication negotiations were undergoing, with a number of banks and arrangers expected to join.
Staff comments
1. There may have been over six lenders, as Bank of China (Hungary) is not mentioned in the press releases or as part of the syndicate in annual reports, but is known to have participated (further reinforced by Bank of China (Hungary)'s participation in a list of creditors in the annual reports, though said list that does not state the creditors by their participation in the syndicate). For the time being, AidData has assumed there were six lenders. Still, this issue merits further investigation. 2. The individual contributions of the six lenders to this €1,888,500,000 EUR syndicated loan are unknown. Therefore, to estimate the contributions of BOC (Hungary) to the loan syndicate, AidData has assumed that each lender contributed equally (€314,750,000 EUR) to the loan syndicate.
