On September 22, 2011, the Bank of China (UK) Limited (BOC UK) issued a loan offer letter to Hilltop Investments Limited — an England and Wales-incorporated privately-held property investment company — for unspecified purposes. This loan carried a maturity period of 20 years and a final repayment date in 2031. This loan was secured by (i.e. collateralized against) a legal charge on all present and future monies, obligations, and liabilities owed by the mortgagor to the mortgagee except monies owed by the mortgagor to the mortgagee under any agreement regulated by the Consumer Credit Act 1974 unless the mortgagee met the terms of that act related to two properties: 2B New End, Hampstead, London NW3 1DD and 6A New End, Hampstead, London, NW3 1DD, as charged by Hilltop Investments Limited on November 11, 2011.
